Imagine if all the other directors sold their shares which is around 44% and Garlick sold 7% of his. That would leave ALK with 51% & Garlick with 42%.

I’m not suggesting that’s happening but there is the option of him retaining a shareholding unless the deal is ALK buying all the shares and I can confirm that I’ve not had any approach for mine.

When does that happen?

Tomorrow would be a good choice of day for it to happen given it is our second biggest shareholder’s birthday.

There will be provisions within the sale and purchase agreement that relates to the contact that any prospective purchases can have with any employee. All employees will continue to have a duty to their current employer. It may be that ALK have agreed with MG that they meet with Sean Dyche to discuss their plans. It may be that there are limits placed on that discussion. I'd imagine that they'd agree that they would discuss nothing with Sean Dyche which may impact on the value that ALK are offering to pay to buy MG's shares. If/when ALK become the owner of the club they will inherit all the club's contracts, including Sean Dyche's contract. I don't know whether they would be allowed to indicate to SD that they planned to negotiate a new contract with him when ALK becomes the club's owner.

I feel for Sean Dyche. He's been through a takeover situation once before and he lost his first coach/manager job as a result. Of course, he ended up at Turf Moor and has done a great job for the past 8 years. I hope he is looking forward to stronger resources to develop the team and will enjoy a very good Christmas.

EDIT: I've now listened to the Everton press conference - and Sean Dyche has spoken about his experience at Watford. From the way SD speaks, I get the impression SD is in a "happy place" with the potential new owners.

That's an interesting variation, CT. I'd imagine MG and JB are looking to sell most/all of their shares to ALK. Once that's been agreed, it will be for ALK to decide on what they propose for all the other shareholders.

I'm not a shareholder. I'd imagine if there had been an approach to any of the smaller shareholders then we'd have heard about it on here.

Good luck to all those that do own shares, especially if they are perhaps worth £1,500 or more each.

I really don't understand that statement? In what way does keeping a guy who's been in his job less than a year mitigate anything? Prior to taking his current role he worked with Burnley in the Community which has nothing to do with running a football club. He's been in place for one of the most dismal transfer windows in the recent years. He's barely had the chance to oversee a match day or any of the usual day to day activities of a football club due to COVID. After the way he treated Huddersfield I would have though that Mr Hart is probably a very worried man right now.

It was just a hypothetical scenario but one that would see ALK have control but one director still own a lot of the club. Not for one minute do I think that will be the case.

But I can confirm that no approach has been made for my shares and I’ve spoken to other shareholders and they neither have had any contact.

I do, but I'd be happy to be proven wrong. One club can't poach another clubs manager without going via official channels. I would imagine this is similar.

They don’t need to consulate you. Drag n tag share rules will be in place meaning Garlick + 1 = he can do what he wants and you’ll just get your money when deal is done

I didn’t say they had to, just that they hadn’t. You say I’ll get my money when the deal is done but as far as I can see there is nothing to suggest they will be buying my shares.

It's different for private companies than it is for public companies, but I think if they get agreement from a certain percentage (90%?) they can automatically buy up the rest on the same terms. There are also protections for minority shareholders that stop them (I think) from issuing millions of new shares to make the minority shares worthless.

I’d be very surprised if they didn’t buy all the shares. They are buying the club, and I’d assume the quoted £200m refers to it all.

How legally binding are these documents that the Egyptian bid have possibly signed? And could it affect any other bid being successful?

From what I was told, despite what the papers reported at the time, nothing had been signed.
