Vlad Torgovnik - New Director

Joined the board


Burnley FC Holdings Ltd, the holding company associated with Burnley Football Club, announced today that Vlad Torgovnik will join the board as a new director.

Bringing with him a wealth of experience having spent over a decade as Chief Information Officer and member of the Senior Management team at one of the world’s largest investment management firms, Vlad’s responsibility for technology infrastructure, operations and middle office functions, make him a valuable asset to the board.

With over 30 years of experience in technology, Vlad has previously held various CIO positions within both investment and consumer banking and in 2006 was recognised as the Capital Markets CIO of the Year by Bankers Magazine.

Vlad holds a BS in Math and Computer Science from New York University, and a Master’s in Computer Science from Columbia University

I only ask because appointments like this, of people who are business men and not fans, tend to create crackpot ideas from time to time.

None of our directors now are fans now apart from Garlick & John B who aren’t really involved.

I would have thought Alan Pace ,who’se at Barnfield or The Turf most days of the week is a bit more than just the Chairman.

It's no longer Barnfield but I was replying to someone who asked about whether the new director was a fan, and other than the two longer serving directors, none of them are fans.

I wonder if this is likely to be the first non- share owning director in the long history of the club

Changes in the articles earlier this year would certainly allow for that, it can be easily and reasonably argued that such changes were long ovrdue - this is what I wrote about that for the London Clarets earlier this year

Burnley Football and Athletic Club Limited is an institution now in its 126th year as a corporate
entity. It has witnessed a lot of change in both Company Law and Football rules, not least in how
they are written. February 15 2023 saw a surprising, ultimately sensible, filing of a new set of
Articles of Association for the club. These are the business rules, practices and restrictions on
activity that the directors and shareholders must adhere to. They replace ones that were
somewhat bedraggled, updated and added to a numerous times over the years. Now, mainly as a
result of modern language and phrasing being applied, they are a much clearer and easier read.
It feels like a positive change, particularly as these new articles make extensive use of the Model
Articles provided by Companies House. Those familiar with such things say that there appears to
be little if any deviation from the ‘boilerplate’, which is good practice.....

....In line with rules long disappeared from the FA’s rulebook, Burnley FC directors are now allowed
to be paid for their roles and hold jobs at the club, having previously been prohibited from doing
so. Given that Company Law requires disclosure of director pay and the separate detailing of the
largest remuneration given to a single director, we should view this as a helpful transparency in
our understanding of how the club is run. From a governance perspective, I see it as a good and
right thing that directors are paid for their efforts in running the club, particularly if they are
working for it full-time.

The change works in tandem with the removal of the requirement for directors to hold at least
4,000 shares in the club, another antiquated rule that meant only significant shareholders could
be directors. The changes may bring Burnley in line with many clubs and across most forms of
business where Chief Executives/Finance Officers etc. hold a place on the board.

He is 'Chief Information Officer' for Millennium which is a "global alternative investment management firm, founded in 1989, which manages $58.9 billion in assets."

He is also ex-JP Morgan. As are John Dewey and Stuart Hunt.

John Dewey never gets much of a mention. I know he was heavily involved in the early days of ALK at Burnley though.

very impressive pedigree, it has to be said. if we are going to recruit based on who is a Burnley fan (inference of poster above) we will be fishing in a relatively small pool.

It was fidelcastro who referenced it but I don't think he was suggesting that was a basis for board recruitment unless I've misunderstood his post.

Wonder whether Millennium have invested? They have nearly $60bn assets under management.

Usually when they invest they want someone on the Board to keep an eye on things.

Or maybe it’s old mates from JPM.

Masters degree in CompSci from a top Uni is impressive in and of itself yet alone the rest of it..

I would have thought it was potentially a salaried position or he me be receiving shares. There's no suggestion he's bought shares and become an investor.

I've not found any but as forzagranata has said, the links are with others at the club through JP Morgan.

It’s not been Barnfield since they switched their sponsorship to the cricket field stand. The club now refer to it as the Burnley Training Centre. Pace i believe is a Chelsea fan, not that it matters.

Does he NEED to be a fan to be installed to help run a business or do you need to be a business man/woman to be a fan? ...........we've got to get this Burnley FC is a cottage industry mentality well away from the club and continue to allow growth from all quarters.

Nobody needs to be a fan to be involved at Burnley. We already have supporters of other clubs who hold senior positions at the club and over the years we have had several Blackburn fans work for us and we still do.

The criteria for me is that for people working on the football side, they clearly need to have a big interest in the game no matter who they support.

On the business side the only important thing is that they are good within their own field.
